– This is our first meeting with you. And it was very important to me that so many people are interested in the activities of our company and people who worry about us, said Oleksiy Vadaturskyy. During the press conference, which lasted more than two hours, Oleksiy Vadaturskyy answered about 40 completely different (by their format, topic and mood of the authors) questions. Of course, that’s not all the questions we received. Therefore, after his return from Kyiv, Oleksiy Vadaturskyy immediately decided to prepare answers for those whose questions, unfortunately, were not answered on the air. Conflict with the Ministry of Infrastructure of Ukraine
Recently, conflict between Andriy Vadaturskyy and the Minister of Infrastructure Volodymyr Omelian has come out in the public spotlight. In your opinion, what is the reason for this conflict? Do your see connection between a large number of negative materials about NIBULON with this conflict?

The media write that NIBULON was trying to monopolize the market of river transportation, and the Ministry of Infrastructure was preventing it from doing this. Could this be a reason for the conflict between Andriy Vadaturskyy and Volodymyr Omelian? Did the President meet with you as he promised at the exhibition? How do you access work of Volodymyr Omelian? Whom do you see as an ideal candidate for the post of the minister of infrastructure in the future? During the government of Viktor Yanukovych, there were a lot of inspections in your company. How are things with this now?
The feature of our time is that the ministers are reformers, but not professionals. And today this is the biggest problem. Today it is even considered fashionable to be a reformer, but not an industry specialist. In this case, I say that if a deputy of the Verkhovna Rada is a layman, it will be worse for the industry and for the economy of Ukraine. I ask the following question: if a professional (in logistics, grain market, shipbuilding, professional in the real sector of the economy) goes to the Verkhovna Rada, does he have to deal with the laws of the space industry or helth care? If you follow this logic, then it is wrong. And when a person as a professional defends the interests of the industry, rather than the personal interests of the company or the Vadaturskyy Sr., or Vadaturkyy-father, or the company where he worked, all this is treated as lobbying for the interests of the company. This is such a way to discredit him as a people’s deputy of Ukraine and to discredit our company. We worked and developed under any political system and achieved success. And if a professional person raised these issues in the Verkhovna Rada, then listen, understand. He is not alone. There is a whole group of people’s deputies who created an inter-factional deputy association “For the Development of Rivers of Ukraine”. There are more than 50 people’s deputies. He heads this association. These are people’s deputies, who are now the natives of the regions, carrying about the Dnipro River, who know the problems of the Dnipro River. So what can General Director of NIBULON do about it? or NIBULON and Vadaturskyy is the same. No, this is a big group of people’s deputies who understand this big problem in Ukraine.
All the labels have been attached to us, saying that someone claims to be a minister, someone wants to dismiss someone from his post. I want to say that I had a lot of proposals in different periods of my life when I was offered different posts. I refused. I believe that there is nothing to do in this “bog”, in politics. The last time I refused to accept the President’s offer in order to deal with my own affairs and not to go into politics. I will bring more benefits to the country when I am engaged in a real sector of the economy. I believed that after the Revolution of Dignity, we will have completely different future. And we made a decision – a young man Andriy Vadaturskyy, who else should build the future of Ukraine, and live for it. In the majority district, not by the list, he became a people’s deputy of Ukraine. And he has his own opinion and his own position. Do respect this position of a professional. It is incorrect, dishonest and wrong to discredit him, me, and the company.
As for the draft law, please show slide No. 17. The draft law on inland waterways, which the minister is engaged in, was submitted to the Verkhovna Rada on September 11, 2009. And this draft law was in parallel introduced to the Verkhovna Rada with the Law on Sea Ports of Ukraine. So it was instituted under the previous authorities that it is necessary to divide the industries between the industrial and financial structures, according to the interests of the industry. Therefore, the ports were subordinated to one of the industrial and financial structures, the rivers were given to other industrial and financial structures. And in order to transfer the sea ports in the future in accordance with the Law on Concessions, restore them at the expense of the state, perform dredging there, then transfer them to the industrial and financial structure in order to reimburse the debts to the state for 50 years. That was a concept.
The same concept was worked on the Dnipro River and other navigable rivers. Rivers, industrial enterprises, river ports, passenger flows and everything else is transferred to another industrial and financial structure. The philosophy in drafting these draft laws was that river transport should be and river due should be introduced. From the very beginning there was such an ideology – the river due. From the very beginning we were against such a philosophy and knew from our experience that there would be no river transportation if river transport is not more economical, as compared to road and rail transport. And then, when the river due was being introduced, we realized that if the river due is introduced today, then tomorrow the official or the head of the new river transport authority will come up with the idea to introduce the due 10 times higher. This is an additional stream of deductions from private business for river transport. That is, in this way, you would like to also punish NIBULON as a leader in investments in the river industry. We have struggled since 2011. And only in 2017, when we can say these debates were already in the public spotlight, it became known to all when it was already a conflict between the Minister of Infrastructure and NIBULON. Only in 2017, on June 12, 2017, eight years after this concept was exaggerated on the river due, Andriy Vadaturskyy became a co-author of (an alternative) draft law and the initiator. Therefore, in this case, we didn’t block this problem; we just started shouting to Ukraine, screaming about this disorder. But here we found a form that we want to maintain monopoly. The journalists have repeatedly asked the head of the Antimonopoly Committee of Ukraine this question. And the head of the Antimonopoly Committee answered that it was not considered, it is not considered and there is no reason to consider NIBULON a monopolist in river transportation. This is an unprofessional statement of an official of the Ministry of Infrastructure that NIBULON is a monopolist. We construct our enterprises, bring them closer to agricultural producers, transport our products, construct our own vessels, reconstruct our own shipbuilding and repair yard, we work for the economy of Ukraine and we are not monopolists in the market of services at all. The real monopoly is Ukrrichflot. It was stated in their official letters that one should listen to them, that they render more than 50 % of services on inland waterways of Ukraine. That is why it is to discredit us. Such a version that we want to be monopolists was created by officials and the minister.
I ask myself this question. Western companies, large companies that want to come to Ukraine and really want to develop inland water transport should stop whining. Don’t you have USD 5 million to construct two barges? Don’t you have 5-7 million to construct a tug? Don’t you have money to do this work? Then pay attention to experience of our company. We bought 4 barges more than 12-14 years ago. We paid taxes. We bought old tugs, repaired them, and we started to work. Who do prevent large transnational companies, oligarchs from getting money in the bank and constructing 1-2 vessels? Do not build yachts and planes, do not fly, do not build villas, but come to Ukraine and construct three or four vessels and renew the river water transportation. For me it’s wild to say at the European Business Association or the American Chamber of Commerce “you are from America, you see how the Mississippi River works. Why do you oppose the Dnipro River development?” Their eyes become bigger, because as soon as I say that we support river transport on the Dnipro River, NIBULON again as a Ukrainian company will reach even more. Again, we irritate them. They hinder any clever decision because NIBULON invests in the economy.
In order to be such a famous and successful company, we have invested USD 2 billion in the infrastructure development. Are we better than Cargill, Bunge, Cofco, and other companies? No, I have a small company, as compared to these ones. Please come to Ukraine with investments. Don’t build facilities only in ports and don’t ask road transport to carry goods at distance of 600 km to ports. Build as we do, in different regions of Ukraine, on the Dnipro River, and then we will compete as normal people.
The second problem is a desire to be monopolists. For example, the recent events of transporting tourists from abroad: the flying coffins are registered (Ukrainian companies said it would be a low-cost). How did it end? They want to do so with “old galoshes” that were taken out of the Dnipro River 30 years ago under offshore flags. And now they want to bring this old fleet back to Ukraine for free. Then, NIBULON with its new fleet is again guilty as the Dnipro River is polluted by foreign fleet. We want Ukraine to construct Ukrainian fleet for the Dnipro River in order to make the Dnipro River economically attractive. So it would be advantageous to build Ukrainian vessels for Ukrainian Rivers, so that the vessels would fly the Ukrainian flag in Ukraine.
I, as Hero of Ukraine, ask a question like this. I do not pursue the interests of our company. We are for the protectionism of our country. And I ask the question, “What country of the world are our Ukrainian vessels under the Ukrainian flag able to get?” None. Each country prohibits a call of vessels flying a foreign flag in their waters. In inland waterways of Ukraine, there are nine times more vessels under foreign flags operating than under the Ukrainian flag. These vessels are old and technically faulty. And today everything is done to give all vessels the green light. When it is prohibited to operate under foreign flag in different countries, they will come to us. There should be a state policy, support of Ukrainian shipbuilding, a policy on economic benefits for the transport of goods along rivers. And I’m sure that everything will be done within 3 years.
In Ukraine there are more than 30 shipbuilding plants of different levels, more than 10 large shipyards. These are very large plants, which were constructing aircraft carriers, ships of different classes and submarines. And today all these plants don’t work. Don’t you think of the reason for which they are stopped? It is unprofitable to construct vessels for Ukrainian rivers. Today, 9,000 employees are next in turn to get a job at our company. Before, there were 150,000 specialists in the shipbuilding industry. Today, there are about 3,500 employees at 30 enterprises. The number of people employed at shipbuilding yards has reduced by 40 times. We employ 700 specialists, more than 20 % of the entire shipbuilding industry of Ukraine are people employed at our company, and 9,000 specialists are next in turn to get a job. Does Andriy Vadaturskyy lobby for NIBULON’s interests or interests of 30 shipbuilding plants? Does Vadaturskyy Sr. lobby for interests of his company? Or do we want all shipbuilding plants to work?
I was pleased to read the news that all city mayors supported the idea of revival and our company’s concept, the concept of deputy inter-faction association, supported concept of the draft law. And in response we hear: the Minister says, “Now we have taken into account all NIBULON’s proposals. If they don’t vote now – we will show everyone that they are against”. Mr. Minister, please show the last version of your draft law, where we can familiarize ourselves with it. You are working alongside the Verkhovna Rada Committee, working out some versions, looking for some useful purposes for industrial and financial structures. Show this version to the public, show this version to mayors, show this version to the agrarian sector, show it to Ukrsudprom, invite them to debate. Discuss it with these people. It will not be a backstage deal. Please, if you worry about Ukraine, then let’s have an open dialogue, and do not say that everyone supports you there. Moreover, at all conferences I constantly hear such a problem: “We are supported by the EBRD, supported by the EIB, supported by the World Bank, supported by embassies”. I ask them: “Did you give them a translation into English of your version of the draft laws?” They keep silent. I asked the EBRD that we would like to know if they really support the project of the Ministry of Infrastructure. They said that they didn’t have the English version. They did not receive any draft laws from them at all. They held a meeting and at the first meeting they abandoned the river due. It was such a pleasant discovery for me – as the minister has promoted for the river due the whole period of time he is the minister, he gave up at the first meeting. They have immediately refused from the free entrance of ships under a foreign flag to the inland waterways of Ukraine, adopted the concept. After that they showed that everything was agreed with the business. Since May 15, already a month and a half, there is no final version of this draft law. But on Facebook they ask to show that NIBULON would support a new draft law. The draft law 2475а-4 of the deputy group is published on the site. It is being discussed. That’s not our company supports it, but many industries do support it. Dear ministers and deputies, where is your draft law?
Passenger transportation
Oleksiy Opanasovych, in an interview a year ago you said that NIBULON planned to launch river transportation by the routes Kherson-Odesa and Kherson-Istanbul. How soon will these plans become a reality?

What difficulties does the company face when arranging passenger transportation by high-speed fleet? Do local authorities help you? Are there enough passengers? What would you like to tell them?
Thank you. It is a very interesting topic. You see, I am an agrarian and I’m asked such questions. And I now must answer why there is no passenger flow and why passenger vessels do not operate along the Dnipro River, along the rivers. It’s really nice. We are a small company (in this sphere). We received a vessel or constructed a vessel, and we are already monopolists; we can be already asked for everything that is bad in the country. Although you understand that this is not the way to ask these questions.
I am an experienced person. I know a lot. I understand a lot. I can organize a lot and not only production. I am a producer, and not a Facebook politician. First of all, I support the idea of reviving navigation on the Dnipro River and passenger transportation. I went to the USA and had trips along the Mississippi River. Our group of specialists has visited rivers of Europe and Belarus. They have studied their experience. So, I was inspired at the American agrarian forum. And there farmers, ministers and heads of the big corporations of America communicated with me. Everyone praised us, invited to study their experience, promised to help us implement it in Ukraine. And I was very enthusiastic about such an idea. I thought we would do a lot of good things after the Revolution of Dignity. I was so enthusiastic about the fact that young people with European thinking, European experience, European education, Euro-optimists, many people who position themselves as reformers come to the ministries. I think that we will do everything in Ukraine. Just make a little effort and you will be heard, supported, and everything will be fine.
We’ve understood that, firstly, the advanced countries of the world don’t pay excise tax on fuel for vessels, lockage, payment for raise of movable bridges to allow river traffic to pass, rental payment for water use. And in Ukraine we pay for raise of movable bridges, excise tax, and rental payment. What do our competitors and those who work under a foreign flag do? They bunker in neutral waters, thereby purchasing fuel at a price that is UAH 10,000 cheaper than it is for us. The prime cost of transportation by inland waterways is USD 4 cheaper for them. They do not pay taxes in Ukraine and the people employed on these ships are paid offshore. We pay taxes in Ukraine and employ our people in Ukraine. We also pay other taxes. Therefore, we proposed that the idea be presented and made it public. An ambassador comes to us (to our company) and says, “Oleksiy Opanasovych, you have the same idea as we have. We are implementing experience. We are your supporters. We will fund grant programs, we will give specialists and will implement your experience. We will support your enthusiasm”.
The U.S. Army Corps of Engineers came and studied problems with locks, visited us and said that they had nothing to tell us. They said that we know everything, we can do everything, and we need support. I asked them to support us in this regard. Grant programs are created, reform offices are formed, good slides are shown to everyone, but nothing is done. It was such euphoria. I said and I thought we would do everything, but there is no good deed that goes unpunished. Instead of supporting the initiative, hearing and conveying the experience to everyone, the initiative is punished, we are criticized. Ukraine had 150 passenger vessels called “rockets”. Today there are 4 rockets in Ukraine and all four ones operate. I am ready to rent out a vessel for passenger transportation for a month to the minister or enthusiasts. Make passenger transportation along the river by the route Voznesensk-Mykolaiv efficient. If you do it, I will give you this hydrofoil. But you should bunker in Ukraine, pay taxes and make transport more efficient than the transportation by bus.
We have launched a competition to find our villas, planes and yachts abroad. If someone finds something, they will be capable of living there. But today, after such information from the Egyptian side I say, “Don’t look for it for a long time. After some period of time we will have property, we will have facilities in Egypt. We will remove this announcement as we will have property in other countries of the world”. We thought we could do it, that we would have the green light. We have reconstructed the shipbuilding yard in Mykolaiv to construct catamarans, hydrofoils, to use the potential of the Dnipro River and launch trips Mykolaiv-Istanbul, Odesa-Varna, etc. Today, it is economically unprofitable for us to work in this direction. Therefore, people, don’t believe officials, ministers saying that we will have the green light if we accept their (government) version of the law. Don’t believe them. They mislead us all.
Therefore, we stopped this transportation. Last year, we had big losses but we continue to perform transportation by separate routes: Voznesensk-Mykolaiv, Mykolaiv-Kinburn Spit, Nova Kakhovka – Kherson. Support our idea of legislative changes, and then it can be done within a year or two. I am sure that we will be the leader in passenger transportation to Istanbul, Varna, Odesa-Skadovsk, Ochakiv-Kinburn Spit-Mykolaiv, etc. In this regard here is one problem – to adopt the best European practices in transportation organization. There is no other way. We shouldn’t re-invent what has already been tested and introduced in the world. I liked how the mayor of Mykolaiv said. “How can you tax business that is not yet working? If it doesn’t work yet, and then multiply by 100 and you will get zero”. So why cannot we restore passenger transportation, give an opportunity to work the way it works in the world, and implement it in Ukraine? The whole problem is in this. We do not lose hope. We don’t give up. We are struggling. We will make everything so the people could know the true reformers. They should know what has been done by the company and progressive deputies, who want to restore river transportation in reality, not on paper or Facebook.

Ukrainian shipbuilding is in deep decline. The reasons are clear: imperfect legislation, economic crisis, lack of domestic shipowners, political instability and military conflict that frightened foreign customers in 2014. Equipment at the shipyards is old and energy-consuming, and qualified shipbuilders in search of decent earnings have long gone abroad or changed their activities.But alongside the huge Mykolaiv shipyards that don’t operate, NIBULON shipbuilding and repair yard has been steadily increasing its production rates for several years, modernizing it, building new workshops, purchasing modern equipment, and even intending to enter the European market of complete vessels. How can you explain such a phenomenon?
I have partly answered this question. The shipbuilding industry will be in decline until there is a need for the construction of vessels for inland water transport. And for the development of inland water transport, it is necessary to create conditions for transportation by inland waterways to be economically advantageous. And I can confirm the words that the shipbuilding industry is abandoned today. And at the same time, I cannot be so pessimistic about it. After all, we also have our own experience: there was “Lyman”, from which we took out more than 150 heavy duty trucks. The slides (showing the way the shipyard looked like) remained. Everyone who visited our enterprises has seen what the shipbuilding plant has proved to be. We have improved it in four years, so that we are not ashamed. And when foreign consultants came to us, they said that they had nothing to advise us, they needed to send their (foreign) shipbuilders so that they could see how we were starting to develop the shipbuilding industry in Ukraine. So I’m not so pessimistic about it. Firstly, it is necessary to adopt laws the shipbuilding industry could exist. And, secondly, shipbuilding enterprises need to be loaded with orders. Today even Mykolaiv shipyards are capable of constructing 2 times more vessels in one year than our small shipbuilding yard in four years. Can you understand, what does it mean to construct 150 vessels at one shipbuilding plant in one year? All problems will be solved: it will not be necessary to send “old galoshes”, it is not necessary to pursue such a policy, to give this stuff operating abroad the green light.
I will give you such an example. After one of the meeting, I had a flight to the Netherlands, I saw our sailors and shipbuilders in a queue to pass passport control at the airport. We had a conversation. I asked where they were going. “We go to ships, and we go to shipbuilding enterprises”, they answered. There are shipbuilders who want to work in Ukraine. They need reliable conditions and they will be constructing vessels in Ukraine. But this requires an appropriate legislative initiative. There are already four draft laws supporting shipbuilding. If inland waterways are supported and developed, all sectors will work.

Who make key management decisions in the company? How is corporate governance carried out? This questions are caused by the fact that former employees of the company claim that all decisions at NIBULON are made by only one person – you. And if so, how did you allow your son to make such a mistake in operations on the Chicago Stock Exchange? How did it happen that you hadn’t a handle on the situation?
The members of the Supervisory Board are very authoritative people who are true specialists of financial institutions and held high positions. These specialists have seen how our company works. We can say that since 1998 they have received the company’s financial reports in full. The first steps – we were the first in Ukraine to receive a World Bank loan in 1998. And this is the first company in Ukraine to receive a loan from the World Bank. Since then, our company has been audited by international auditing companies every year and audits last up to six months. And thorough audits are carried out, like an X-ray. We work with more than 15 European banks and about 7 large Ukrainian banks. Each bank has a group of analysts, who twice a year, on a planned basis, check the company’s activities. Do these “experts” consider themselves to be smarter than all these specialists of the best banks? Are they worse in financial terms than you, the “experts” who came there, had an interview, and then (journalists), chose something from his words and showed a bad situation in the company? No bank institution will provide a loan to a company that is loss-making. You have to understand this. Come and ask UAH 100 in the Ukrainian bank and show that you are bankrupt today. You will not be given even UAH 100. Our company receives large loans for development and for the current activities. I will explain to “experts” that there are two types of loans: investment loans, which are long-term loans for 5, 7, 9 years. We receive these loans to carry out planned investment activity, regardless of the situation in Ukraine, regardless of the situation in the market, so that we could spend money according to our investment plan. There are loans that are allocated to replenish working capital for the harvesting period. It’s not a secret to the banking system. During the harvesting campaign, we accumulate 1.5 million tons of grain because we are not able to ship all grain right away during the harvesting campaign. Therefore, we receive loans to finance trade activities, accumulate products and carry out planned activities for the sale of goods. We are not a grandmother who entered the market to sell two chickens, and it will be good to sell them at any price. We can say that we are a company, an international trading company, which should plan its trading activities a few months ahead.
Let’s get back to the company’s Supervisory Board. The Supervisory Board members receive all the information in online mode. Everyone gets the information in accordance with his direction. Each of them has access to any of our specialists, to any reporting. Every month we meet, report, and plan our activities. These are experienced people who can and advise and tell us whether we are planning to do this or that work correctly or not. To conceal – it is acceptable only to people who live “according to the unwritten rules”. We understand that once you hide something – you will no longer be believed. There wasn’t a case when someone from foreign creditors, foreign companies, businessmen failed to believe me. Because if Vadaturskyy said that he would fulfill this contract, he executes this contract and in any situation, and it does not matter whether it is a lucrative contract or advantageous one. The contract will be fulfilled. Therefore, it is unreal to hide something or not to show someone something.
Business is such a complicated thing. But everybody thinks we have nowhere to put that money, and in general it is a super-profitable business. I will tell you that in Ukraine there are more than 2,200 exporting companies. Only in our Mykolaiv there are 16 exporters. And to say that there is something to hide from someone. In the market, if we hold the money for one day, the whole market will know that NIBULON has not paid any money there. And this just will indicate the real financial situation of the company, litmus paper of the financial condition of the company. We carry out such a large purchasing activity (up to 30-60 thousand tons of grain) with more than 4,000 partners. And when we pay them on the same day basis, this is just the litmus paper of the financial condition of our company. It is speculation, it’s to humiliate my son, humiliate me, and humiliate our company. If we got such losses, then we probably would not have survived in such a situation. It is not true. These are people who live thanks to these rumors, who hope that we will go bankrupt, that we will not be in the market. I can say that you will not wait. Do not waist time and do not waste your money on fake articles in the fight against us. Thanks God, we have what to do and we will continue to grow, and we will be even stronger. I just thank you for giving us so much strength. And what will you say later when we are not only in Egypt, but also in other countries too.
The question of the sole decision-making. I will reveal to you such a secret: in our company, there are 10 different committees (risk committee, pricing committee, stock exchange committee, construction committee, quality agricultural product committee, etc.). That is, we have many collegial bodies. And on a systematic basis, teams of specialists are being gathered and they discuss a strategy on a particular issue. Questions are discussed without General Director. So, when there is an opportunity, I am present at these meetings. As it should be, as the person who is responsible for the state of a whole enterprise, I am the only person who has the right to veto (to block or support decisions).
